- No agency: Newral Properties may operate as a principal (buyer/assignee) and/or market an equitable interest as permitted by contract and law.
- Disputes: Limits on liability apply. Dispute terms below control.

1) Acceptance of Terms
By accessing or using NewralProperties.com (the “Site”) or any related forms, portals, messaging, files, or services (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.
2) Who We Are

3) Eligibility and Authorized Use
- You represent you are at least 18 years old and legally able to enter contracts.
- You agree not to misuse the Site: scraping, reverse engineering, spamming, or disrupting security or operations.
- You agree not to upload malicious content or attempt unauthorized access to portals or data.
4) No Legal, Tax, or Financial Advice
Content provided through the Services is for general informational purposes only and is not legal, tax, financial, or investment advice. You should consult your own professionals before making decisions.
5) Listings, Numbers, and “As-Is” Information
- Property information, underwriting numbers, photos, and descriptions may be supplied by sellers, third parties, or compiled from sources believed reliable.
- We do not guarantee accuracy, completeness, or current status. Availability and pricing can change without notice.
- You are responsible for independent due diligence (inspections, title, liens, zoning, permits, condition, occupancy, rent rolls, taxes, insurance, utilities, and legal compliance).
6) Buyer List and Buyer Requirements
- Buyer list enrollment does not guarantee deal availability or acceptance.
- We may request proof of funds, identity confirmation, entity documents, or other information to reduce fraud and ensure legitimate participation.
- We may suspend or revoke access for non-performance, non-responsiveness, circumvention attempts, harassment, or misuse of confidential deal info.
7) Seller Submissions and Listing Fees
- Seller packages are one-time listing fees per property, as displayed at checkout and in seller-facing terms.
- Submitting a listing does not guarantee publication. We may refuse or remove listings that appear fraudulent, incomplete, or non-compliant.
- Photos and data provided by a seller must be owned/authorized by the seller and not infringe third-party rights.
8) Portal Access, Security, and Communications
- Portals may require approved credentials or access codes.
- You agree to keep access credentials confidential and notify us if compromised.
- We may log and monitor activity to protect users and the business (consistent with our Privacy Policy).
- You consent to receive communications (email/SMS/phone) related to transactions, listings, and service updates; message/data rates may apply.
9) No Agency Relationship
Unless we have a separate written agreement stating otherwise, you acknowledge that Newral Properties is not acting as your broker, agent, fiduciary, attorney, or lender. We may act as a principal in transactions and may market a position/equitable interest as permitted by contract and law.
10) Prohibited Conduct (Strict)
- Attempting to contact or contract directly with a seller/buyer introduced through our Services to avoid our process (“circumvention”).
- Copying deal packages or photos for redistribution without permission.
- Misrepresenting identity, funds, authority, or intent.
- Submitting false property information, altered documents, or misleading material facts.
11) Intellectual Property
The Site design, branding, text, and materials are owned by or licensed to Newral Properties. You may not reproduce or distribute without written permission. You grant us a license to use content you submit (photos, descriptions, and documents) for evaluating, marketing, and processing listings and transactions.
12) Third-Party Services (Payments, Chat, Analytics)
The Services may integrate third-party tools (e.g., payment checkout, analytics, chat). Your use of those tools is subject to their terms and policies. We are not responsible for third-party outages, errors, or policies.
13) Disclaimers (Maximum Protection)
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEWRAL PROPERTIES AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $250.
15) Indemnification
You agree to defend, indemnify, and hold harmless Newral Properties from claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your submissions, your conduct, or your breach of these Terms.
16) Suspension and Termination
We may suspend or terminate access to the Services at any time for suspected fraud, security risk, prohibited conduct, legal compliance concerns, or other reasons in our reasonable business judgment.
17) Electronic Signatures and Records
You agree that electronic signatures, click-to-accept, and electronic records satisfy legal requirements for written agreements and signatures, and you consent to receive records electronically (including by email, portal download, or secure link), subject to applicable law.
18) Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws principles. Venue for disputes shall be in a court of competent jurisdiction located in Wake County, North Carolina, unless arbitration is required or permitted by applicable law and agreed by the parties.
19) Changes to Terms
We may update these Terms from time to time. Continued use after updates constitutes acceptance.
